Disclosures
Last reviewed: 26 October 2026
Stryde Ventures Limited operates an investment crowdfunding platform. This page sets out how the platform works, what it costs, the risks of investing through it, and the protections that apply. It is published to meet our obligations as a firm regulated by the Dubai Financial Services Authority (DFSA), and it is written for members and applicants.
Read it with the Investment and Membership Agreement, the Terms of Use, the Key Risks and the Privacy Policy. If anything here differs from the Investment and Membership Agreement, the agreement governs.
1. Key risks
Investing through Stryde carries risk. Before you invest, understand the following.
You may lose all or part of your money, or be paid late. The value of a business can fall to nothing. Distributions depend on the business paying them or being sold, and the timing of either is uncertain.
The businesses on the platform may fail. We list established, revenue-generating businesses rather than start-ups, but any private business can fail, and many do. An investment in a business that fails is likely to be lost in full.
You may not be able to sell when you want to, or at all. Shares in the vehicle that holds each investment are not listed or traded. There is no market for them, and Stryde does not provide one. You should expect to hold each investment until the business is sold, listed or wound up, which can take years.
If Stryde ceases business, you may lose money, incur costs or be paid late. We maintain a cessation plan so that your investments continue to be administered if that happens; it reduces the disruption, it does not remove the risk.
Investing with borrowed money increases the risk. If you borrow to invest, you must still repay the loan whether or not the investment pays out. Retail Clients may not use a credit card to invest through Stryde; Professional Clients may be permitted to, as set out in the Investment and Membership Agreement.
If you are classified as a Retail Client, you will sign a risk acknowledgement form confirming that you understand these risks each time you invest.
Stryde does not give investment advice. Nothing on the platform is a recommendation to invest in any business. Each decision to invest is yours.
2. Business failure rate
We are required to tell you how many of the businesses funded through the platform have failed, and how many we expect to fail.
Actual. Since we began operating, ten businesses have raised or are raising funds through the platform. None has failed. For this purpose a business has failed if it has defaulted on a payment due to investors, become insolvent, been wound up or ceased trading.
Expected. We expect that some of the businesses funded through the platform will fail over the life of an investment, which is typically several years. We have not put a percentage on that expectation, because our own record is short and we do not consider a figure drawn from it, or from general private-market statistics, would be reliable. Our expectation rests on the following: we list established businesses with existing revenue rather than start-ups; each investment is a minority position with no control over the business; the sectors we invest in, sport, entertainment and gaming, are competitive and the businesses in them can fail for reasons outside their control; and the holding period is long enough for conditions to change. A low failure rate to date is not a prediction of the future.
This section is updated at least annually and after any failure. Figures as at: 26 October 2026.
3. How the platform works
1. Become a member. Apply on the platform. We verify your identity and address, run anti-money-laundering checks, and classify you as a Retail Client or a Professional Client under the DFSA Rules. If we approve your application, you pay the initiation fee and the first yearly fee and your membership starts. Only members can invest.
2. Choose a deal. Each deal is listed with its terms, its documents, the funding target, the fees that apply to it, and the results of our due diligence. Every member sees the same information at the same time. Deals typically stay open for up to 90 days; some close earlier.
3. Commit. You commit the amount you want to invest, at or above the minimum shown for the deal, and transfer it to the segregated client money account. You sign the application for shares, the articles of the vehicle and, if you are a Retail Client, the risk acknowledgement form. You can withdraw during the cooling-off period described below.
4. The round closes. When the funding target is reached, a special purpose vehicle is incorporated in the Dubai International Financial Centre (DIFC). The vehicle subscribes for the shares in the business, and you are issued shares in the vehicle in proportion to your investment. The vehicle appears on the business's shareholder register; you hold your interest through it.
5. Stryde administers. Stryde manages the vehicle for the life of the investment: it holds the shares, handles reporting, exercises the vehicle's rights as a shareholder, and passes distributions through to you when the business pays a dividend or is sold, listed or wound up. The dates for each step are shown on each deal page.
Stryde is paid only by members and by the businesses that raise funds, as set out under Fees. Stryde does not lend to businesses, does not invest in them for its own account, and does not advise you.
4. Fees
What members pay
Membership. An initiation fee of US$5,000, paid once when your application is approved, and a yearly fee of US$5,000. The first yearly fee is paid with the initiation fee, so joining costs US$10,000; each later yearly fee is due on the anniversary of your membership. Membership fees are not refundable once your membership has started. They are Stryde's fees, not deposits, and they are not held as client money.
Fee Credit. For each year you have paid for, up to US$5,000 of the arrangement fees on your investments that year is waived. The credit is applied automatically when you commit. It is a waiver of Stryde's fee, not money: it cannot be applied to the amount you invest or to a performance fee, cannot be withdrawn or transferred, and expires at the end of the membership year if unused. If you withdraw a commitment during the cooling-off period, the credit used on it is restored for the rest of that year.
Arrangement fee. A one-off fee charged when you invest, calculated as a percentage of your investment at the rate shown on the deal page. The rate can differ from deal to deal and can be zero. The rate shown when you invest is the rate that applies to that investment and is not changed afterwards.
Performance fee. If the proceeds you receive from an investment, after the vehicle's costs, exceed the capital you invested, Stryde charges a performance fee on the excess at the rate shown on the deal page when you invested. The rate can differ from deal to deal and can be zero. No performance fee is charged if you receive back less than, or only, your capital.
Other charges. The vehicle's own costs, such as incorporation, registration and administration, are deducted before distributions and are itemised on the deal page. Bank, transfer and foreign exchange charges on deposits and withdrawals are yours. A reasonable fee applies to registering a transfer of your shares.
We may change our fees on at least 14 business days' notice by email. A change to membership fees does not apply to a year you have already paid for. A change to arrangement or performance fee rates does not apply to investments you have already made.
What businesses pay
A business that raises funds through the platform pays Stryde a success fee, calculated as a percentage of the amount raised and payable on completion of the investment. Stryde may also charge the business a yearly fee for ongoing administration. Both are agreed with the business before its round opens and can differ from deal to deal. These fees are paid by the business, not deducted from your investment.
Stryde receives no payment, commission or benefit in connection with the platform from anyone other than members and the businesses that raise funds.
5. Who can use the platform
Investors
Membership is by application and is approved at Stryde's discretion. To apply you must be at least 18, hold a valid passport and provide a valid proof of address. We verify your identity, run anti-money-laundering checks and classify you as a Retail Client or a Professional Client under the DFSA Rules. You may be asked to complete further checks, and to update your documents from time to time, to keep your profile current.
We are currently unable to accept residents or passport holders of the following countries: Bangladesh*, Democratic People's Republic of Korea (DPRK), Iran*, Libya*, Myanmar*, Nigeria*, Uganda, Yemen*.
*UAE residents from these countries are accepted.
Businesses
Only a body corporate can raise funds through the platform. We look for established, revenue-generating businesses in sport, entertainment and gaming. Before a business is listed we verify its identity and registration, the identity and background of its directors and controllers, its financial statements and funding history, its valuation, its business proposal and the commitment of its founders, and that its business is lawful where it operates. The results of that due diligence, and any limits on it, are published on the deal page. Stryde does not usually take security over a business's assets; where it does, the deal page says so and explains when the security could be enforced and any limits on it.
The DFSA does not verify, check or approve the businesses on the platform or the information published about them.
6. Investment limits
The minimum investment is US$10,000 per deal, unless a different minimum is shown for that deal.
If you are a Retail Client, the DFSA Rules cap your investments through the platform at US$100,000 in any calendar year and US$50,000 in any single deal. The platform will not let you exceed these limits. Professional Clients are not subject to them.
There is no fixed minimum or maximum on what a business may raise. The amount sought in each round is agreed with the business before the round opens and is shown on the deal page.
7. Committing and withdrawing
Your commitment becomes binding when you confirm it on the platform and transfer the funds. You then have a cooling-off period of 48 hours, starting when you formalise your commitment on the platform, in which you can withdraw without penalty and without giving a reason, either on the platform or by emailing contact@gostryde.com. Your funds are returned in full; the only possible deduction is a bank foreign exchange charge if you funded the commitment in a currency other than US dollars.
After the cooling-off period your commitment cannot be withdrawn, except in the cases set out below: the funding target is not reached, there is a material change in the business, the round is discontinued, or Stryde decides to release you.
8. Funding targets
If the funding target is not reached within the time shown for the deal, and no adjusted target is agreed with the business, the round is terminated and every commitment is refunded in full, without fees; a bank foreign exchange charge may apply if you funded in another currency.
If commitments exceed the target, Stryde may accept commitments above the target up to a ceiling shown on the deal page. Commitments beyond that ceiling are not accepted and are refunded in full, without fees.
9. Material changes
A material change is any change or new matter that may significantly affect a business or its ability to carry out the proposal it raised funds for: for example a change in its management, control or structure, an event affecting its profitability, a change relating to its assets, or a default on another obligation. Each business must give Stryde advance notice of any such change.
During a round. If a material change arises while a round is open, Stryde publishes the details on the deal page, where every member can see them, and notifies everyone who has committed, on the platform and by email. You must then reconfirm your commitment within 5 business days. A commitment not reconfirmed in that time is cancelled and the funds refunded.
After a round. If a material change arises after the round has closed, Stryde publishes the details on the platform, together with any change in your rights that results from it and the steps, if any, Stryde proposes to take.
Stryde makes these disclosures as soon as practicable after it becomes aware of the change.
10. Overdue payments and default
If a business fails to make a payment due to the vehicle that holds your investment, or otherwise defaults on its obligations to it, Stryde will notify the investors in that vehicle, publish the details on the platform, and pursue the amount on the vehicle's behalf where it is reasonable to do so, including by enforcing any security or minority protections in the investment documents. Stryde keeps investors informed of the steps taken and their outcome. Recovery is not guaranteed, and you may lose all or part of your investment.
11. Your money and your shares
Before a round closes
Money you commit is held in a segregated client money account under the DFSA Client Money Rules, separate from Stryde's own money, until the round closes or your commitment is refunded. The account is held with a bank Stryde selects and monitors; the bank, the jurisdiction in which the account is held and the account details are shown on the platform and in the transfer instructions you receive when you invest. The account may be outside the DIFC, where banking and insolvency law differs. Your funds are held together with those of other members, and no interest is paid on them.
If Stryde were to become insolvent, your money in that account would be dealt with under the DFSA's Client Money Distribution Rules. If the bank holding the account were to become insolvent, your money would be subject to the insolvency law of the bank's jurisdiction, which typically protects properly designated client accounts.
Membership fees and Stryde's fees are Stryde's own money. They are not client money and are not held in the client money account.
After a round closes
Your investment is held through a special purpose vehicle incorporated in the DIFC. The vehicle holds the shares in the business; you hold shares in the vehicle in proportion to your investment. Those shares carry the economic rights to dividends and capital on a sale, and no voting or control rights; Stryde appoints the vehicle's directors and manages it. The vehicle is registered with the DIFC Registrar of Companies, where your shareholding can be verified, and a share certificate is available to you on request.
Distributions reach you when the business pays a dividend to the vehicle or is sold, listed or wound up. The vehicle's costs and any performance fee are deducted first; the balance is paid to the bank account registered on your profile, subject to your identity checks being current. The timing of distributions depends on the business and cannot be guaranteed. Tax on what you receive is your responsibility.
12. Transfers
Shares in a vehicle are not listed or traded, and there is no market for them. Stryde does not currently provide a facility for members to sell their shares to one another. If Stryde introduces one, it will be announced on the platform with its conditions; any such facility would be open only to existing members who have invested through the platform, would give buyers the same information earlier investors had, and would be charged at cost.
Outside any such facility, the Investment and Membership Agreement allows a transfer of your shares only in limited cases: on death or incapacity to a nominated person, to a spouse or family member with Stryde's consent, or on the insolvency of a corporate member. Every transfer is subject to identity checks on the transferee and to the vehicle's articles. If you transfer your shares before a distribution, you lose your entitlement to it.
13. Financial crime
As a regulated firm Stryde runs anti-money-laundering and know-your-customer checks on every applicant and every business before they can use the platform. We verify identity, residential address and the source of funds, screen against sanctions lists, politically exposed person lists and country risk, and keep that screening current. If a change in your status is detected after you join, we may suspend your account pending investigation. We have a Money Laundering Reporting Officer and train the staff involved. Deposits, withdrawals and investments are not processed until due diligence is complete.
14. Security and data
The data we collect about you, and how we use it, is set out in our Privacy Policy. Data is encrypted in transit and at rest and held with established infrastructure providers. Our systems are built to stay available and to keep the integrity of the records they hold, we maintain a business continuity plan for the event of a systems failure, and we review our security measures at least yearly. You can request a copy of the business continuity plan by email.
15. If Stryde ceases business
Stryde is regulated by the DFSA, holds client money in a segregated account separate from its own funds, and holds your investments through DIFC vehicles in which you are the registered shareholder. Those arrangements are designed to keep your money and your shares apart from Stryde's own position.
If Stryde were to cease business, its cessation plan, maintained and reviewed each year under DFSA requirements, sets out how the vehicles and the platform would continue to be administered, including the appointment of a replacement administrator to manage the vehicles and, where possible, the platform itself. You can request a copy of the cessation plan by email.
These arrangements reduce the disruption if Stryde ceases business. They do not remove investment risk, and you may still lose money, incur costs or experience delays in being paid.
16. Conflicts of interest
Stryde is paid only by members and by the businesses that raise funds, as set out under Fees. Neither Stryde nor any person connected with it holds, or intends to hold, any shareholding, option, warrant, carried interest or other financial interest in a business listed on the platform, and Stryde does not invest in those businesses for its own account.
Conflicts can still arise between Stryde and members, or between members, in the ordinary course of business. Stryde maintains a conflicts policy under which such situations are identified in advance and managed. Where a conflict is material and cannot be managed, Stryde discloses it to the members affected before they decide whether to proceed. Every member has access to the same information about each deal at the same time; no member or class of member is given earlier or preferential access to a round.
17. Governing law
The Investment and Membership Agreement and your investments through the platform are governed by the laws of the Dubai International Financial Centre, and any dispute under them is resolved exclusively by the DIFC Courts. The Terms of Use are governed by DIFC law. You agree to raise any issue with us as a complaint first.
We give at least 7 days' prior written notice of any amendment to the Investment and Membership Agreement, by email to your registered address, on the platform, or both, unless it is impractical to do so. If you continue to use the platform after an amendment, you accept the revised agreement.
18. Membership questions
What is Stryde?
Stryde is a members-only private market investment platform for the sport and entertainment economy. Members invest, deal by deal, in teams, leagues, gaming and entertainment businesses through dedicated investment vehicles, and get access to Stryde Experiences and a set of member benefits. Stryde Ventures Limited is incorporated in the DIFC and regulated by the DFSA.
What does membership include?
For each year you have paid for: a Fee Credit of up to US$5,000 against the arrangement fees on your investments that year; one complimentary Stryde Experience, chosen from those designated for members, subject to availability; and the other member benefits described on the platform, which may change over time. The Fee Credit and the complimentary Experience expire at the end of each membership year if unused; nothing carries over. Member benefits are services, not investments.
How does renewal work?
Your yearly fee is due on the anniversary of your membership start date. If it is not paid by then, you keep access to the member areas for 14 days, but no Fee Credit or complimentary Experience is available until you pay. If you pay within those 14 days, your new membership year runs from the anniversary. If you have not paid by the end of the 14 days, your membership lapses.
What happens if I do not renew?
Your member benefits end and the member areas, including Stryde Experiences and My Stryde, close to you. You keep access to the platform to view and manage your existing investments, receive distributions and communications about them, and exit them in accordance with the agreement. You cannot make new investments. Once you no longer hold any investments and everything due to you has been paid, your account is closed. You can reinstate your membership at any time before that by paying the yearly fee; no second initiation fee is charged, and a new membership year starts from the date you pay.
Can I invest without membership?
No. Investing through Stryde requires an approved, current membership.
What is the difference between a Retail Client and a Professional Client?
Stryde classifies every member as a Retail Client unless they meet the DFSA's Professional Client criteria and ask to be treated as one. A Professional Client is not subject to the yearly and per-deal investment caps but gives up certain protections that apply to Retail Clients, including the signed risk acknowledgement for each investment. A member who qualifies as a Professional Client may still choose to be treated as a Retail Client. Ask us for the criteria and the implications before deciding.
What do I actually own?
Shares in a DIFC special purpose vehicle, which in turn holds the shares in the business. Your share of the vehicle equals your investment divided by the round's funding target. The vehicle's shareholding in the business is on the business's register; yours is on the vehicle's, at the DIFC Registrar. A share certificate is available on request.
What happens if a business I invested in fails?
You are likely to lose all or part of that investment. Stryde negotiates market-standard minority protections in the investment documents where it can and, if an amount owed to investors is not paid, may pursue it on the vehicle's behalf, as described under Overdue payments and default. None of that removes the risk of loss, and Stryde gives no guarantee of any return or of recovery.
What happens if Stryde fails?
See If Stryde ceases business above. Your money before a round closes is client money, held apart from Stryde's own; your shares after a round closes are yours, held in a vehicle Stryde administers but does not own. The cessation plan provides for a replacement administrator.
How are returns paid to me?
When the business pays a dividend to the vehicle, or is sold, listed or wound up, the vehicle deducts its costs and any performance fee and pays the balance to the bank account on your profile. Timing depends on the business and is not guaranteed. Tax is your responsibility.
